Summary
Covered bonds are bonds issued by banks, which are characterized, primarily, by being backed by a dual recourse:
a) the recourse vis-à-vis the issuing bank, and
b) the recourse vis-à-vis an unconditional, irrevocable, first demand guarantee issued by a special purpose vehicle controlled by the issuing bank in favour of the holders of the covered bonds; such special purpose vehicle is the transfereee of a portfolio of performing mortgage loans, assigned by the issuing bank (and any other banks part of the same banking group).
In the covered bond programme of Banco Desio, the role of issuing bank is covered by Banco di Desio e della Brianza S.p.A..
Banco di Desio e della Brianza S.p.A. and, originally, Banca Popolare di Spoleto S.p.A. transferred, through the signing of specific assignment agreements originally signed on July 5, 2017, portfolios of loans, deriving from residential mortgage loans issued to individuals. The sale is made in favor of the special purpose vehicle Desio OBG S.r.l., established for the covered bond program, and controlled by Banco di Desio e della Brianza S.p.A. and part of the Banco Desio Group.
The transfer of mortgage loans, as part of their ordinary management, does not entail any change for the assigned debtors, as the servicing of the loans continues to be carried out by Banco Desio and does not change in any way the conditions and characteristics of the mortgage loan itself.
